Terms of Service

1. Acceptance of Terms

By accessing or using Edgely (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. If you accept these Terms on behalf of an organization, you represent and warrant that you have the authority to do so.

2. The Service

Edgely provides connection-management, secure-credential-storage, and related productivity software for individuals and organizations. The exact features available depend on the application you use, your subscription plan, and your jurisdiction. Our website lists the current features and includes details that supplement these Terms.

Cross-device synchronization, where offered, is limited to non-credential application data. Saved credentials remain on your devices under your control; we do not transmit, store, or have access to them through the Service.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 16 years old (or the higher age of digital consent in your jurisdiction) and capable of entering into a binding contract.

3.2 Registration

You must register an account to use most features. You agree to:

  • Provide accurate, current, and complete information
  • Keep your account credentials confidential
  • Promptly notify us of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

3.3 Account types

Accounts may be opened on an individual or an organizational basis, with capabilities and pricing as described on our website.

4. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated by reference into these Terms. In summary, you must not use the Service to break the law, harm others, infringe rights, compromise security, or interfere with the Service or its users.

5. Subscriptions, Fees, and Billing

5.1 Plans

We offer free and paid plans. Features, pricing, and limits applicable to each plan are described on our website at the time you subscribe.

5.2 Billing

Paid subscriptions are billed in advance on the cycle you select (for example, monthly or annually). Unless otherwise stated, recurring subscriptions renew automatically at the end of each cycle.

5.3 Taxes

Prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes, duties, or similar charges associated with your purchase.

5.4 Price changes

We may change prices for renewals. We will give you reasonable advance notice (and at least the period required by law) before any change takes effect. If you do not agree to the change, you may cancel before the next renewal.

5.5 Refunds

Statutory withdrawal rights, where they apply (for example, the EU 14-day right of withdrawal for consumers, subject to its conditions), are not affected by these Terms. Beyond statutory rights, fees are non-refundable except where we expressly state otherwise.

6. Cancellation, Suspension, and Termination

6.1 Cancellation by you

You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current paid period; you retain access until then unless the law requires otherwise. You may also delete your account as described in our Privacy Policy.

6.2 Suspension or termination by us

We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, the Acceptable Use Policy, or applicable law, or if your use of the Service creates a security, legal, or operational risk. Where reasonably possible we will give you prior notice and an opportunity to cure.

6.3 Effect of termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual-property, disclaimers, limitations of liability, and dispute-resolution provisions) will continue to apply.

7. Intellectual Property

The Service, including all related software, content, and trademarks, is owned by Edgely or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

You retain ownership of content you submit through the Service (for example, support requests, feedback). You grant us a worldwide, royalty-free licence to use that content solely to operate, secure, and improve the Service and to comply with our legal obligations.

8. Privacy and Data Protection

Our handling of personal data is described in our Privacy Policy and, where applicable, our GDPR Data Processing Policy. By using the Service you acknowledge those policies.

The Edgely applications send us no usage analytics and no telemetry of any kind: no feature-usage counters, no session tracking, no plugin-usage beacons and no device-keyed or session-keyed event stream. They transmit no crash reports and no error reports; the software contains no crash-reporting component and there is no endpoint anywhere in the product to receive one. Diagnostic logs and crash dumps are written to a folder on your own device and are never uploaded, if you choose to attach them to a support request, that is your own deliberate act. Because no such data is collected, there is no analytics setting to switch on or off. We use no advertising, no advertising identifiers and no third-party trackers, and our website loads no analytics script and no tag manager; apart from the anti-abuse widget that protects our forms, described in our Cookie Policy, the only external host it contacts is Google Fonts.

The portal does keep a record of the requests it performs itself. When you download the software, when the software checks for a new version, or when you install or update a plugin, we record the event as a count. For a download we also record the country and the city resolved from the connection, the browser or client user agent, and the campaign and referral attribution (utm_source, utm_medium, utm_campaign and referrer); for a version check, the country and the user agent; for a plugin install or update, nothing beyond the count. Your IP address is used only in memory, at the moment of the request, to resolve that location, and is then discarded. It is never stored with those records. Device identifiers are used to activate licences and to link your own devices to your account; that is an account function, not tracking.

Separately from those statistics, the portal does retain an IP address for a small number of security, consent and account purposes: proof of which version of a legal document you accepted (a legal obligation and an evidentiary need), anti-abuse on our public contact and feedback forms, and device linking (both on the basis of our legitimate interest in security). Our security logs record a partially masked address when a rate limit is hit, when an anti-abuse check fails, or when a message is sent through our public contact or feedback forms. The Privacy Policy and the GDPR Data Processing Policy set out each case, its legal basis and how long it is kept.

Saved credentials, passwords, private keys and tokens, never leave your devices, as stated in section 2. Account, authentication, support-request and billing data are described in the Privacy Policy.

9. Third-Party Services

The Service may interoperate with third-party software, services, or networks. Your use of such third-party offerings is governed by their own terms; we are not responsible for them.

10. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our warranties are limited to the minimum scope required by law.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
  • Our aggregate liability arising out of or relating to the Service in any twelve-month period will not exceed the greater of (a) the fees you paid us for the Service during that period, or (b) one hundred euros (€100).
  • Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (for example, liability for fraud, gross negligence, or willful misconduct, or, where applicable, non-waivable consumer rights).

12. Indemnification

You agree to indemnify and hold Edgely harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your unlawful use of the Service or your breach of these Terms, to the extent permitted by law.

13. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. We will give you reasonable advance notice of material changes by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, acts of war or terrorism, civil unrest, government action, internet or telecommunications failures, or pandemics.

15. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or to an affiliate.

16. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Failure to enforce a provision does not waive the right to enforce it later.

17. Governing Law and Disputes

These Terms are governed by the laws of Belgium, excluding its conflict-of-laws rules. Subject to any non-waivable rights you have under your local consumer law, the courts of Brussels, Belgium have exclusive jurisdiction over any dispute arising from these Terms.

If you are a consumer in the European Union, you may also bring a complaint via the European Commission's Online Dispute Resolution platform.

18. Entire Agreement

These Terms, together with the Privacy Policy, the GDPR Data Processing Policy, the Acceptable Use Policy, the EULA (where the desktop application is used), and any plan-specific terms presented at the time of purchase, constitute the entire agreement between you and Edgely regarding the Service.
