This End User License Agreement ("EULA") is a legal agreement between you ("you") and Edgely ("we", "us", "our") for the use of the Edgely desktop, mobile, and companion applications (the "Software"). By installing or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
If you accept this EULA on behalf of an organization, you represent and warrant that you have the authority to do so.
Subject to your compliance with this EULA, your subscription, and applicable law, Edgely grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
The Software is licensed, not sold.
The Software stores your saved credentials, passwords, private keys, and access tokens, in a locally-encrypted vault on your device. Saved credentials never leave your device through the Software's cross-device synchronization feature. Cross-device transfer of credentials is by encrypted, password-protected export only, generated and imported by you. The synchronization service carries only non-sensitive application data, and our servers reject any synchronized item that appears to contain a credential. Edgely does not have, and cannot recover, your vault password or your export password. You are responsible for keeping them safe.

The Software may require activation against a valid licence before all features become available. We may perform reasonable license-validation checks online from time to time.
Your subscription specifies the number of devices on which the Software may be activated. Where applicable, we offer a self-service way to deactivate a device so that you can free up a slot.
Subscription, billing, renewal, and cancellation terms are described in our Terms of Service. Downgrading or letting a paid subscription expire may limit certain features or reduce them to those available in our free tier.
We may make available updates, patches, and new versions of the Software. They are deemed to be Software for the purpose of this EULA. We may apply security updates automatically when needed to protect users.
Support is provided according to your subscription tier. Information about scope, channels, and response targets is available on our website.
The Software transmits no telemetry. It sends no usage analytics of any kind: no feature-usage counters, no session tracking, no plugin-usage beacons, and no device-keyed or session-keyed event stream. There is no telemetry setting to switch on or off, because there is nothing to collect.
The Software contains no advertising, no advertising SDK, no advertising identifier, and no third-party tracker.
The Software transmits no crash reports and no error reports. It includes no crash-reporting SDK, and we operate no endpoint that receives them. Diagnostic logs and crash dumps are written to a folder on your own device and are never uploaded. If you choose to attach them to a support request, that is your own deliberate act and you decide what is sent.
Certain operations are carried out through our servers rather than reported by the Software. When you download the Software, when the Software checks whether a newer version is available, or when you install or update a plugin, we record the event itself as a count. For a download we also record the country and the city resolved from the connection, the browser or client user agent, and campaign and referral attribution (utm_source, utm_medium, utm_campaign, and the referring page); for a version check, the country and the user agent; for a plugin install or update, nothing beyond the count. Your IP address is used only, in memory, to resolve that approximate location at the moment of the request, and is then discarded; it is never stored with these records, and it appears in no log and no backup of them.
Separately from those statistics, our portal does retain an IP address for a small number of security, consent and account purposes: proof of which version of a legal document you accepted (a legal obligation and an evidentiary need), anti-abuse on our public contact and feedback forms, and device linking (both on the basis of our legitimate interest in security). Our security logs record a partially masked address when a rate limit is hit, when an anti-abuse check fails, or when a message is sent through our public contact or feedback forms. The Software itself neither stores nor transmits your IP address. Our Privacy Policy sets out each case, its legal basis and how long it is kept.
Device identifiers are used to activate your licence (section 5) and to link your own devices to your account. That is an account function, not tracking.

The Software may include open-source components distributed under their own licenses. Those components remain governed by their respective licenses, which prevail over this EULA only with respect to those components. A list of components and their licenses is available with the Software.
The Software is protected by copyright and other intellectual-property laws and treaties. Edgely and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. All rights not expressly granted to you in this EULA are reserved.
If you provide us with feedback, suggestions, or ideas about the Software, you grant us a perpetual, worldwide, royalty-free licence to use them without obligation to you.
To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Software will meet your requirements, that defects will be corrected, or that the Software is free from harmful components. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our warranties are limited to the minimum required by law.
To the maximum extent permitted by applicable law:
This EULA is effective until terminated. It will terminate automatically if you fail to comply with any of its terms. Upon termination, your right to use the Software ends and you must uninstall and destroy all copies of the Software in your possession or control. Sections that by their nature should survive termination will continue to apply.
You agree to comply with all applicable export-control and sanctions laws and regulations, and you represent that you are not located in, ordinarily resident in, or organized under the laws of, a country or region that is the subject of comprehensive sanctions, and that you are not on any restricted-party list maintained by a relevant authority.
If you are a U.S. federal government end user, the Software is "commercial computer software" and "commercial computer software documentation" and is licensed under this EULA in accordance with applicable U.S. federal acquisition regulations.
We may update this EULA from time to time. We will notify you of material changes by reasonable means (for example, in-product notice or email) before they take effect. Your continued use of the Software after the changes take effect constitutes acceptance of the updated EULA.
This EULA is governed by the laws of Belgium, excluding its conflict-of-laws rules. Subject to any non-waivable rights you have under your local consumer law, the courts of Brussels, Belgium have exclusive jurisdiction over any dispute arising from this EULA.
This EULA, together with our Terms of Service, Privacy Policy, GDPR Data Processing Policy, Acceptable Use Policy, and any plan-specific terms presented at the time of purchase, constitutes the entire agreement between you and Edgely regarding the Software and supersedes all prior agreements on the subject.
